1. Agreement Overview

These Terms of Use (this "Agreement") constitute a legally binding agreement between you and SierraLV Property Management & Realty and its affiliates ("Company," "we," "us," or "our") governing your access to and use of our website and mobile applications (collectively, the "Services").

Definitions: "You" and "your" refer to both individual users and any entity on whose behalf you are accessing the Services. The parties to this Agreement are collectively referred to as the "Parties" and individually as a "Party."

Acceptance: By creating an account, clicking "Accept," "Agree," or similar acknowledgment buttons, or by accessing the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement and any subsequent modifications.

2. Scope of Services

SierraLV Property Management & Realty is a real estate company and property management firm that provides services through various offices, which may operate independently or as affiliates.

Important Distinction: This Agreement applies solely to our digital Services. Any real estate brokerage services, property management services, or ancillary services provided by a SierraLV Property Management & Realty office or its agents ("Other Services") are governed by separate terms and conditions. Please consult directly with the applicable office or agent to understand the terms governing Other Services.

3. Mandatory Arbitration Notice

IMPORTANT: THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION PROVISION IN SECTION 16 THAT REQUIRES DISPUTES TO BE RESOLVED THROUGH INDIVIDUAL ARBITRATION RATHER THAN JURY TRIALS, COURT PROCEEDINGS, CLASS ACTIONS, OR CLASS ARBITRATIONS.

4. Modifications to Terms and Services

Effective Date: The "Last Updated" date indicates when this Agreement was last revised. We reserve the right to modify this Agreement at any time by providing reasonable notice, including posting a revised Agreement through the Services.

Service Modifications: Subject to applicable law, we may at our discretion and without liability:

Modify, suspend, or discontinue any portion of the Services
Implement, modify, or waive fees associated with the Services

5. License Grant

Subject to your compliance with this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes only, unless otherwise agreed in writing.

Ownership: All Services elements, including design, functionality, content, and technology, are owned by or licensed to SierraLV Property Management & Realty. We and our licensors retain all intellectual property rights, including patents, copyrights, trademarks, and trade secrets.

Your Responsibilities: You are solely responsible for obtaining and maintaining all hardware, software, telecommunications services, and internet connectivity required to access the Services.

6. Account Registration and Security

Registration Requirements: Access to certain Services features may require account registration. During registration, you must provide accurate information, including your name, email address, username, password, and other requested details.

Account Security: You are responsible for:

Maintaining the confidentiality of your account credentials
All activities conducted through your account
Notifying us immediately of any unauthorized access or security breach

7. Communications and Consent

Electronic Communications: By using the Services, you consent to receive communications from us via telephone, email, in-app notifications, or postings on the Services. These communications may relate to:

Real estate products and services offerings
Customer support

You agree that all electronic communications satisfy any legal requirements for written communications.

Information Collection: We collect information from you and your devices during Service usage, including:

Actions taken within the Services

Data Sharing: Collected information may be shared with our affiliated entities, service providers, and third parties as detailed in our Privacy Policy, which is incorporated into this Agreement by reference.

9. Acceptable Use Policy

You agree to use the Services in compliance with all applicable laws and regulations. Prohibited conduct includes, but is not limited to:

Posting unlawful, fraudulent, defamatory, threatening, harassing, or obscene content
Infringing upon intellectual property rights, privacy rights, or other rights of third parties
Impersonating any person or entity
Introducing viruses, malware, or other malicious code
Attempting to gain unauthorized access to the Services or related systems
Interfering with or disrupting the Services or servers
Using automated systems (bots, scrapers) without express written permission
Violating any applicable local, state, national, or international law

10. Third-Party Content and Links

The Services may contain links to third-party websites, applications, or services not owned or controlled by SierraLV Property Management & Realty.

No Endorsement: We do not endorse, warrant, or assume responsibility for third-party content, products, or services.

Your Responsibility: You access third-party sites at your own risk and should review their terms of service and privacy policies.

11. Artificial Intelligence Features

Certain Services functionality may utilize artificial intelligence (AI) and machine learning technologies.

Acknowledgment of Risks: You acknowledge that:

AI-generated content may contain inaccuracies or errors
AI outputs should be independently verified before reliance
Results are not guaranteed to be complete, accurate, or suitable for your purposes

Your Responsibility: You agree to critically evaluate and verify all AI-generated results before making decisions based on such information.

12. Transactions and Payments

Purchase Terms: If you make purchases through the Services, you agree to:

Provide accurate and complete payment information
Pay all applicable charges, including taxes and fees
Comply with the payment provider's terms of service

Finality: All transactions are final and non-refundable unless otherwise expressly stated or required by law.

13. Feedback and Submissions

Feedback: Any suggestions, ideas, or feedback you provide regarding the Services becomes our exclusive property. We may use such feedback without compensation or attribution to you.

User Submissions: By submitting content to the Services (including reviews, comments, photos, or other materials), you grant us a perpetual, worldwide, royalty-free, irrevocable, sublicensable license to use, reproduce, modify, publish, and distribute your submissions for any lawful purpose. You represent and warrant that you own or have the necessary rights to grant this license.

14. Intellectual Property Rights

Proprietary Protection: The Services and all associated content, features, and functionality are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Restrictions: You may not:

Use our trademarks, logos, or branding without express written consent
Copy, modify, distribute, or create derivative works from the Services
Reverse engineer or attempt to extract source code
Remove or alter any proprietary notices

15. Disclaimers and Limitations

WARRANTY DISCLAIMER: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIERRALV PROPERTY MANAGEMENT & REALTY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

16. Indemnification

You agree to defend, indemnify, and hold harmless SierraLV Property Management & Realty, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the Services
Your violation of this Agreement
Your violation of any rights of third parties
Your violation of applicable laws or regulations

17. Termination

Our Rights: We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any reason, including:

Violation of this Agreement
Suspected fraudulent, abusive, or illegal activity
Extended periods of inactivity
Business or operational reasons

Effect of Termination: Upon termination:

Your license to use the Services immediately ceases
You must discontinue all use of the Services
Provisions that by their nature should survive termination will remain in effect

18. Governing Law and Dispute Resolution

Governing Law: This Agreement is governed by the laws of the United States and the State of Nevada, without regard to conflict of law principles.

Alternative Dispute Resolution: Any dispute arising from this Agreement or the Services shall be resolved as follows:

Informal Negotiation: Parties agree to first attempt good-faith resolution through informal negotiation
Mediation: If negotiation fails, disputes shall proceed to non-binding mediation
Binding Arbitration: If mediation is unsuccessful, disputes shall be resolved through binding arbitration administered under the rules of the American Arbitration Association

CLASS ACTION WAIVER: YOU AND SIERRALV PROPERTY MANAGEMENT & REALTY AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. CLASS ACTIONS, CLASS ARBITRATIONS, AND REPRESENTATIVE ACTIONS ARE NOT PERMITTED.

20. Copyright Infringement Claims

If you believe your copyrighted work has been used in a manner that constitutes infringement, please submit a notice under the Digital Millennium Copyright Act (DMCA) containing:

Identification of the copyrighted work
Identification of the infringing material
Your contact information
A statement of good faith belief
A statement under penalty of perjury
Your physical or electronic signature

21. Export Controls and International Use

You agree to comply with all U.S. export control laws and regulations. The Services may not be available in all jurisdictions. If you access the Services from outside the United States, you are responsible for compliance with local laws.

22. Miscellaneous Provisions

Entire Agreement: This Agreement, together with our Privacy Policy and any additional terms applicable to specific Services, constitutes the entire agreement between you and SierraLV Property Management & Realty.

Severability: If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement without restriction.

By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
